• LAWYERS
  • TAX CONSULTANTS

Navigating the legal and tax jungle
Businesses are always in a state of flux. They have to deal with a plethora of laws that are constantly changing and multiplying.

We help entrepreneurs to correctly apply the laws and regulations that are important for them and to implement these as efficiently as possible:

  • at foundation,
  • in day-to-day business,
  • in restructuring projects,
  • in mergers and joint ventures,
  • in the purchase and sale of companies,
  • for projects in Germany as well as abroad.

Preventive and extensive
We ensure that as little as possible goes wrong in the minefield of tax rules – at home and abroad. In day-to-day business we take care of

  • contracts
  • contract management,
  • licenses,
  • competition,
  • compliance,
  • labour law
  • and much more.

And in court
It’s best to take care of things in advance, so that problems do not arise in the first place. As solicitors, however, we are of course on hand in cases where a legal dispute is unavoidable – whether it be as advisers or as representatives for contentious proceedings in court. And, if worse comes to worst, even for tax and white collar crime proceedings.

Capitalisation and Financing

Battling for the best terms
Does your company need money? Do you want to finance a new company? Then you have many options: A capital increase? Or venture capital? Loans? A silent partnership? Subsidies? Convertible bonds? Or going public?

We are not a bank – and cannot conjure up money for our clients. But we can help with finding the right form for your project finance and take care of its legal implementation.

With long-standing experience
We support VCs, startups and established companies as consultants; they benefit from our expertise when selecting financing partners – and in the subsequent battle for the best terms.

Restructuring, Joint Ventures, Mergers

Change without risk
There are many reasons to change a company’s structure:

  • new shareholders,
  • new business fields,
  • new foreign activities,
  • new laws or
  • new liability risks.

Restructuring companies is not sorcery, but it is complicated from a legal and tax standpoint. We help our clients with all legal, accounting and tax issues.

Without a rude awakening
Is cooperation with an allied company about to become closer? Is a joint venture imminent? Entrepreneurs need reasonable agreements for these cases – and this may include a settlement in case of divorce. We’ve got them.

Two become one
When companies are merged, the interests of all parties involved need to be taken into account in a balanced and appropriate manner. This is rarely simple, but more than necessary. We know the pitfalls – and the solutions.

Labour Law

From contracts to dismissal protection
As a law firm specialised in commercial and tax law, we advise companies on the drafting of

  • employment contracts
  • remuneration models
  • as well as on questions regarding the limitations of employment contracts.

We also support our clients when the company’s situation requires redundancies to secure its continued existence. We develop various redundancy scenarios and assist in the implementation of a selection process.

If necessary, we represent our clients in dismissal protection suits before labour courts.

Ongoing Services

Legally sound design...
Sooner or later, almost everything a company does ends up with the need to have a contract. Supply contracts, employment contracts, licensing contracts, cooperation agreements, distribution contracts and, and, and – sometimes sealed with a handshake, sometimes on 246 pages with 19 annexes. To avoid any inconsistencies, contracts must be designed in a legally sound manner – and this is an essential part of our work as solicitors specialising in commercial and tax law. We take care of the design and review of contracts for companies.

... and controlling
Once a contract has been concluded, we support our clients with secure contract controlling. This way we can ensure that all parties involved also observe what has been agreed.

Compliance

Safeguarding a good reputation
Compliance is a key topic in corporate management: For one thing, requirements increase with the regulatory density of laws. For another, economic damage caused by violations of laws can be immense – and the company's reputation is often damaged, too.

Minimising risks
We support our clients with setting up and implementing compliance systems. The aim is to minimise risks for companies and employees.

Specialisation and expertise
We are specialists at dealing with the particular regulatory requirements in the IT and banking and finance sectors and have many years of experience in these fields.

Tax compliance
When it comes to tax compliance, in international business the focus is often on transfer prices between affiliated companies: cross-border deliveries and services must be carried out on terms that stand up to external comparison. The companies involved are subject to extensive documentation requirements.

Banking and finance
When it comes to banking, we offer advice on compliance issues relating to the structuring and sale of capital market products and aspects of banking supervision.

Business Taxes

Tax havens?
In this country, it is business which is most confronted with the diverse requirements of our tax laws. And with a mass of different taxes: taxes on profits (two or three different taxes in Germany and possibly others abroad), taxes on sales, employee payroll taxes, various special taxes and perhaps also customs duties. As a law firm specialising in commercial and tax law, we have an overview of the current legal situation.

Avoiding mistakes
Tax loopholes? They do exist but are extremely rare. More important than risky tax saving schemes: A sound legal structure that avoids unnecessary high taxes – and errors that can quickly become expensive.

Crisis and Insolvency

Averting insolvency
It is when your company is in crisis that the quality of legal advice becomes apparent. As solicitors experienced in commercial and tax law, our primary goal is to avert the threat of insolvency. We ensure the necessary business expertise by involving skilled cooperation partners. We also make our bank contacts available to our clients.

Guidance through insolvencies
Whether debtor or creditor, we support our clients with all issues of insolvency law, both in insolvency opening proceedings and in ongoing proceedings.

Defending claims
If an insolvency administrator takes recourse against you on account of your activities as managing director, board member or shareholder, we will support you in the defense against such claims.

This also applies to all cases in which you are confronted with claims from insolvency disputes – especially in challenges to insolvency proceedings.

Support for creditors, debtors and insolvency administrators If there is any liability on the part of the insolvency administrator for his/her activities in this area, we can support the affected insolvency administrator or the creditors and debtors.

Reorganisation of Pension Commitments

Ticking time bombs in the balance sheet
Are pension provisions in your company's tax and commercial balance sheet drifting further and further apart, and is the age of beneficiaries increasing? Are reinsurance policies not sufficient to cover the amount of actual pension obligations?

Your company's creditworthiness will suffer as a result of this, and sooner or later you will face liquidity problems. An orderly generational change will then become increasingly difficult; without a solution to the problem, selling the company may become impossible.

Better now than later
We have developed methods and tools to alleviate this problem under commercial, tax and labour law – and to ease the burden on your company's balance sheet. The sooner the problem is addressed, the more options you have: every year of waiting costs a lot of money.
