Transactions of Commercial Property and Residential Portfolios

Professional support
We advise our clients both in the acquisition and sale of their real estate or property portfolios. This applies to private investors as well as investment companies and other institutional investors. When purchasing property, we check the ownership structure, possible risks from rental contracts and, usually, the existing insurance cover. If the client also requires a technical inspection, we work together with renowned service providers as well as architects and experts.

Advantage of protected data room
We can support our clients with a pending sale by setting up a protected data room. In this virtual room, all documents that we have examined can be made available to potential buyers. The sale of larger property portfolios, in particular, should be as discreet as possible so that the property does not lose value on the market after a short time.

International contacts
In addition to legal knowledge, we also provide our clients with international contacts to pension funds or other institutional investors who may be interested in acquiring such a portfolio.

Litigation in Rental and Residential Property Matters

Should the worse come to the worst
Should problems with tenants occur, we advise our clients regarding possible litigation. Apart from the usual issues such as operating cost settlements and corrective measures, ever more legal disputes come about due to rent control and the apportionment of modernisation costs, for example, for a construction project in accordance with EnEV (Energy Saving Ordinance).

For landlords and homeowner associations
Usually, we exclusively represent the landlord side. However, jurisprudence in the area of residential property law has become more and more complicated. We therefore also advise homeowner associations that are used by third parties or by individual owners.

Long-standing experience
In addition to homeowner associations, we have been supporting several large property management companies in Hamburg, which are active in both the areas of apartment building and residential property law, for several years.

Avoid costs with prevention
To avoid cost-intensive proceedings, we make sure in advance that, for example, rental contracts are concluded in such a way that the risk of litigation is as low as possible.

Commercial Tenancy Law and Hotel Leasing Agreements

Flawless rental agreements for office and production
We prepare rental agreements for our clients in the field of project development and institutional investors – or review these before they are concluded with the respective tenant. This applies to both office and commercial production space. In the latter case, a clear demarcation between the tenants' installations for technical production equipment and the rented space itself is often important to prevent subsequent disputes.

Hotel leasing agreements – a special case
In recent years, a strong hotel market has established itself in Hamburg. We have therefore represented landlords in the conclusion of hotel leasing agreements with large American hotel chains on several occasions. Here, too, we posses specialist knowledge that benefits our clients with ongoing advice.

Choice of Legal Form and Overall Tax Concepts

Sound contracts from a legal and tax perspective
Whether it be a short-term investment, long-term portfolio or succession planning, no matter what our clients' intentions are when purchasing property: the decisive factor is the planning of the investment with regard to legal and tax issues.

Here we consider:

  • the property transfer tax,
  • the ongoing taxation,
  • how to handle issues of commercial property trading or private sales transactions,
  • inheritance tax aspects
  • and much more

as decisive individual building blocks. We put all this together quickly and efficiently for our clients.

Project Financing

Large projects, intensively checked
We offer project developers, property developers and property companies or fund providers advice on financing property projects. To this end, we check the loan agreements, the associated security agreements or the disbursement requirements. We also draw up and review all agreements between banks and mezzanine lenders.

Classic and alternative financing
Classic property financing via a bank is not always the right way to proceed, however. Therefore, we also like to present alternative financing models to our clients. Whether it be bonds, subordinated loans, participatory loans or silent partnerships, together we will find the right financing for the respective project and implement it consistently.

Benefit from a financial network
Our clients also benefit from our contacts to asset managers, family offices or crowdfunding platforms. After all, any alternative form of financing is only worth something if the required capital is also raised in the end.

Investment Funds and Property Crowdfunding

Alternative to one's own property
Property investments are currently very fashionable. In addition to their own property, investment funds in accordance with the German Capital Investment Code (KAGB) or investments via crowdfunding models also offer investors the opportunity to participate in the property market.

Successful and secure positioning
Our clients include capital management companies, property funds and crowdfunding platforms. We take care of all legal requirements before, during and after a successful placement in order to minimise liability risks.

We are also the right contact when it comes to tax and economic questions. We prepare forecasts for the sales documents or check them for plausibility. Even if it is not typical for solicitors to do sums.

Restructuring and Refinancing

On the safe side
A balanced financing structure is a decisive success factor for property companies. However, new investment projects, changes in the credit market or changes in the legal framework require adjustments to be made from time to time.

Sensible restructuring
By analysing existing financing, examining alternative financing models and restructuring financing, we support our clients in dealing with changes and taking advantage of new opportunities.
